1. Acceptance of Terms

By accessing or using Postboard ("Service"), operated by Postboard ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms constitute a legally binding agreement between you and the Company.

2. Eligibility

You must be at least 18 years of age to create an account or use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If we learn that a user is under 18, we will terminate their account and delete their personal information promptly.

3. Description of Service

Postboard is a professional services platform that helps independent professionals win work, get paid, and build their reputation. We provide tools for:

Creating professional profiles and service listings
Generating and sending proposals to clients using AI-powered features
Managing projects with milestone-based workflows
Processing payments via Stripe Connect
Scheduling consultations and managing availability
Collecting reviews and building a professional reputation
Communicating with clients through project messaging

We act as a platform connecting service providers with clients. We are not a party to any agreement between service providers and clients, and we do not guarantee the quality, safety, or legality of services offered through the platform.

4. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your information to keep it accurate
Maintain the security and confidentiality of your password
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account
Not share your account credentials or transfer your account to another person

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. User Conduct

You agree not to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Transmit harmful or malicious code, viruses, or malware
Harass, abuse, threaten, or harm other users
Create false, misleading, or fraudulent listings or profiles
Manipulate ratings, reviews, or search results
Use the Service for any illegal or unauthorized purpose
Attempt to gain unauthorized access to the Service or its systems
Scrape, crawl, or use automated means to access the Service without permission
Circumvent any security or access controls

6. AI-Powered Features

6.1 AI-Generated Content Disclaimer

Postboard uses artificial intelligence (powered by Anthropic Claude) to provide features such as proposal generation, pricing suggestions, service recommendations, and invoice drafting. AI-generated content is provided as suggestions only and does not constitute professional, legal, financial, or tax advice.

You acknowledge and agree that:

AI-generated proposals, pricing suggestions, and invoices are starting points that you should review and customize before sending to clients
You are solely responsible for the accuracy and completeness of any content you send to clients, whether AI-generated or not
AI outputs may contain errors, inaccuracies, or inappropriate suggestions
We do not guarantee the suitability, accuracy, or completeness of any AI-generated content
You should not rely on AI-generated content as a substitute for professional advice (legal, financial, tax, or otherwise)

6.2 AI Data Processing

When you use AI features, certain data (such as project descriptions, service details, and professional context from your profile) may be sent to our AI provider (Anthropic) for processing. Please see our Privacy Policy for details on how AI-related data is collected, used, and protected.

7. Intellectual Property

7.1 Your Content

You retain ownership of all content you create and post on the Service ("User Content"), including profile information, service listings, proposals, and messages. By posting User Content, you grant Postboard a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display your content solely in connection with operating and improving the Service.

7.2 Our Content

The Service, including its design, features, code, logos, trademarks, and all other intellectual property, is owned by Postboard and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without express written permission.

7.3 AI-Generated Content

Content generated by AI features on your behalf (such as proposal drafts) is provided for your use. Once you edit and send AI-generated content, it becomes your User Content and you assume full responsibility for it.

7.4 Prohibited Content

You may not post content that is illegal, harmful, threatening, abusive, defamatory, pornographic, or otherwise objectionable.

8. Payments, Fees, and Refunds

8.1 Subscription Plans

Postboard offers free and paid subscription plans (Pro, Business, and Agency). Postboard charges zero commission on your work — we make money through optional subscription upgrades, not through transaction fees on your earnings. Current subscription pricing is available on our Pricing page.

8.2 Payment Processing

All payments are processed by Stripe, our third-party payment processor. By using our payment features, you agree to Stripe's Terms of Service and Privacy Policy. Standard payment processing fees (2.9% + 30¢ per transaction) are charged by Stripe and are separate from Postboard's pricing. We do not store your full payment card details on our servers.

8.3 Billing and Renewals

Paid subscriptions are billed in advance on a monthly or annual basis. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for recurring fees.

8.4 Refund Policy

Subscription fees are generally non-refundable. However, if you cancel within 14 days of your initial subscription purchase and have not substantially used premium features, you may request a full refund by contacting support@postboard.io. After the 14-day period, cancellations take effect at the end of your current billing period — no partial refunds are issued for unused time.

8.5 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at your next billing cycle after the notice period.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE SERVICE.

Postboard is not responsible for the conduct of any user, the quality of services provided through the platform, or the outcome of any transaction between users. We do not endorse any user, service listing, or AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POSTBOARD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of (or inability to access or use) the Service
Any conduct or content of any third party on the Service
Unauthorized access, use, or alteration of your transmissions or content
Any AI-generated content or suggestions provided through the Service
Any errors or omissions in any content or data

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO POSTBOARD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Postboard, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your User Content, or your violation of any rights of another person or entity.

12. Termination

By Us: We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

By You: You may terminate your account at any time through your account settings or by contacting support@postboard.io. If you have an active paid subscription, cancellation takes effect at the end of your current billing period.

Effect of Termination: Upon termination, we will delete your personal data within 30 days, except where we are required to retain it for legal or regulatory purposes (e.g., payment records retained for 7 years for tax compliance). Provisions that by their nature should survive termination (including ownership, disclaimers, indemnity, and limitations of liability) shall survive.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal legal claim, you agree to first contact us at support@postboard.io to attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days of receiving your notice.

13.2 Binding Arbitration

If the dispute cannot be resolved informally, you and Postboard agree to resolve any claims through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Portland, Oregon, or may be conducted remotely by mutual agreement. The arbitrator's decision shall be final and binding.

13.3 Class Action Waiver

YOU AND POSTBOARD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for intellectual property infringement or unauthorized use of the Service. Small claims court actions are also excluded from the arbitration requirement.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Multnomah County, Oregon.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree with the updated Terms, you must stop using the Service and close your account.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Postboard regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
